1. Agreement to Terms

By accessing or using Claw0x ("the Platform", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.

Claw0x is a marketplace platform that connects AI agent developers ("Buyers") with skill providers ("Sellers") through a unified API gateway. These terms govern your use of the Platform regardless of your role.

2. Definitions

• Platform: The Claw0x marketplace, API gateway, and all related services
• Skills: API endpoints, tools, or capabilities published by Sellers on the Platform
• Buyers: Users who consume Skills via API calls
• Sellers: Users who publish and monetize Skills on the Platform
• API Call: A single request made to a Skill through the Platform's gateway
• Wallet: Your Platform balance denominated in USDC on the Base blockchain

3. Account Registration

3.1 Eligibility: You must be at least 18 years old and have the legal capacity to enter into contracts. By registering, you represent that you meet these requirements.

3.2 Account Security: You are responsible for maintaining the confidentiality of your API keys, wallet credentials, and account information. You agree to notify us immediately of any unauthorized access.

3.3 Accurate Information: You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Terms for Buyers

4.1 API Usage: You may use Skills for lawful purposes only. You agree not to:

• Abuse, overload, or attempt to disrupt the Platform or any Skill
• Reverse engineer, decompile, or attempt to extract source code from Skills
• Use Skills to violate any laws, regulations, or third-party rights
• Resell or redistribute Skill access without explicit permission
• Attempt to bypass billing or authentication mechanisms

4.2 Billing: You agree to maintain sufficient balance in your Wallet. Each successful API call will be charged immediately at the Skill's listed price plus a 10% platform fee. Failed calls (5xx errors from the Skill) will not be charged.

4.3 Rate Limits: Skills may impose rate limits. Exceeding these limits may result in throttling or temporary suspension of access.

4.4 No Warranty: Skills are provided "as is" by third-party Sellers. While we enforce quality standards, we do not guarantee the accuracy, reliability, or availability of any Skill.

5. Terms for Sellers

5.1 Skill Requirements: Published Skills must:

• Provide accurate documentation and usage examples
• Maintain at least 99% uptime over any 30-day period
• Return responses within reasonable timeframes (typically under 30 seconds)
• Comply with all applicable laws and regulations
• Not contain malicious code, malware, or security vulnerabilities

5.2 Revenue Share: Sellers receive 90% of the Skill price for each successful call. The Platform retains 10% to cover infrastructure, payment processing, security, and support.

5.3 Pricing: You set your own per-call pricing. Prices must remain stable for at least 30 days after any change. Price increases require 7 days notice to active users.

5.4 Quality Standards: Skills falling below 99% uptime may be automatically suspended. Repeated violations may result in permanent removal from the Platform.

5.5 Intellectual Property: You retain all rights to your Skills. By publishing on Claw0x, you grant us a license to host, distribute, and facilitate access to your Skill.

6. Payment Terms

6.1 Wallet Deposits: You may deposit funds via credit card (through MoonPay) or by transferring USDC to your Platform wallet on Base blockchain.

6.2 No Refunds: Wallet deposits are non-refundable. However, unused balance never expires and can be used for any Skill on the Platform.

6.3 Withdrawals: Sellers may withdraw earnings at any time, subject to blockchain network fees. Minimum withdrawal amount is $10 USDC.

6.4 Taxes: You are responsible for all taxes associated with your use of the Platform.

7. Intellectual Property

The Platform, including its design, code, branding, and documentation, is owned by Claw0x and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Platform without permission.

Skill names, descriptions, and documentation are owned by their respective Sellers. The Platform name "Claw0x" and logo are trademarks of Claw0x.

8. Prohibited Activities

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Transmit malware, viruses, or harmful code
• Engage in fraudulent activities or money laundering
• Harass, abuse, or harm other users
• Scrape or data mine the Platform without permission
• Impersonate others or misrepresent your affiliation
• Interfere with Platform security or infrastructure

9. Termination

9.1 By You: You may close your account at any time. Unused Wallet balance can be withdrawn before closure.

9.2 By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or pose a security risk. We will provide notice when possible, but reserve the right to terminate without warning in severe cases.

10. Disclaimers and Limitation of Liability

10.1 No Warranty: THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT GUARANTEE UNINTERRUPTED ACCESS, ERROR-FREE OPERATION, OR THAT SKILLS WILL MEET YOUR REQUIREMENTS.

10.2 Third-Party Skills: Skills are provided by independent Sellers. We are not responsible for Skill functionality, accuracy, or availability.

10.3 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLAW0X SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO THE PLATFORM IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Claw0x, its affiliates, and their respective officers, directors, and employees from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

12. Dispute Resolution

12.1 Informal Resolution: Before filing a claim, you agree to contact us at legal@claw0x.com to attempt informal resolution.

12.2 Arbitration: Any disputes that cannot be resolved informally shall be settled by binding arbitration in accordance with the rules of the American Arbitration Association. You waive your right to participate in class action lawsuits.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or Platform announcement at least 30 days before taking effect. Continued use of the Platform after changes constitutes acceptance of the new Terms.

14. General Provisions

14.1 Governing Law: These Terms are governed by the laws of Delaware, United States, without regard to conflict of law principles.

14.2 Severability: If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 Entire Agreement: These Terms constitute the entire agreement between you and Claw0x regarding the Platform.
